Business intelligence, strategic deal advisory and political risk
We investigate companies, their owners and business networks. We advise on preparing and executing transactions and assess political and regulatory factors that may affect investments and business operations.
When to engage us
- You are considering an acquisition, an asset purchase, an investment round or a joint venture.
- A potential partner’s ownership, reputation and connections need to be assessed.
- Information about deal participants, asset provenance or control is incomplete or inconsistent.
- You need to prepare a negotiating position and identify investment protections.
- A market entry or project depends on government decisions, permits or licences.
- Political developments, sanctions or regulatory change may affect operations, investments or an exit.
What we do
Conduct business intelligence and counterparty diligence.
We examine ownership, beneficial interests, actual control, affiliates and the business history of key individuals. We assess reputational exposure, corporate conflicts, litigation and other material factors. We cross-check registries, records, open sources and other information obtained lawfully.
Assess political and regulatory risk.
We analyse public policy, regulatory developments, sanctions-related factors and the project’s dependence on government action. We identify relevant stakeholders, their powers and interests. We develop scenarios and assess their potential impact on the project.
Prepare decision-ready recommendations.
We set out established facts, material risks and open questions. Options may include proceeding, commissioning further diligence, revising deal terms, introducing safeguards or reconsidering participation. We identify developments that would trigger reassessment.
How we work
We start with the decision the client needs to make. We agree the subject, geography, timeline, depth of review and reporting format.
We check the provenance and reliability of information. Our conclusions distinguish verified facts, information requiring confirmation, analytical assessments and scenarios. We explain data limitations and their effect on the findings.
Where required, we agree the involvement of sector specialists, financial advisers or counsel in the relevant jurisdictions. Ongoing monitoring is scoped to the mandate and project duration.
Getting started
Outline the planned decision, participants and geography, key questions and deadlines.
Following a conflict check, we agree document transfer, objectives and scope.
